and its videography, photography, audio/visual post-production editing, graphic design, and related services (referred to as the "Service") provided on this website. Before placing an order or using any resources or social media on the website, please carefully review these terms and conditions.  If you do not agree, you may stop accessing the website and discontinue using the Service.

These terms and conditions are part of your entire agreement, including the Privacy Policy, End-user Licenses, and any additional agreements you may enter with PreciseTake Multimedia LLC for using any services on this website. All users, including guest visitors, must accept these terms and conditions in their entirety to access or use the Service. You are not permitted to pick individual clauses or redefine the terms of this agreement. By clicking "I Agree" or related buttons on any part of this website or the interface of your device, you are deemed to have signed this agreement and bound to PreciseTake Multimedia LLC as described in this agreement.

By entering this agreement, you represent that you are at least 18 years old, and if you are not, accessing this website or using the Service under the supervision and guidance of your legal guardians.

 

However, minors under 13 years of age are not permitted to use the website/service.

All prices, service packages, promotional campaigns, and exclusive offers are subject to change without
notice.

You are not allowed to exploit any feature, content or resources on the website or engage in activities that amount to an infringement of our proprietary rights. Once the final invoice is paid, PreciseTake Multimedia LLC will grant a non-exclusive copyright over delivered work, but we shall retain a perpetual, irrevocable, royalty-free, and worldwide right over any image, video, design, script, or other aspects of the project. PreciseTake Multimedia LLC shall be entitled to use these images, videos, designs, scripts, and presentations of delivered projects for its business promotion.

Payment and Expenses

Once a quote has been approved, no discounts, deductions, set off, or abatement shall be applicable on the payable amount.

PreciseTake Multimedia LLC reserves the right to determine the process, procedures, and applicable fees for the Service. We may require you to pay an advance for the booking of the services.

Once the final draft has been delivered, all works related to the project shall be deemed as complete. Once your project is complete, a final invoice for incurred expenses and used materials shall be generated and payable within 14 days from the date of the final invoice.

If payments become overdue and you fail to discharge your financial obligation under this agreement, PreciseTake Multimedia LLC shall be entitled to stop or postpone delivery/performance under this agreement and initiate other legal remedies/rights to recover the dues. In such cases, you shall be solely liable for any loss that may result from delays and non-performance of the Service. PreciseTake Multimedia LLC shall be entitled to a general lien or right of retention on your supplied materials and equipment until the dues have been cleared.

Clients shall be charged for all expenses, including but not limited to transportation, food, accommodation, equipment hire, or other out-of-pocket expenses that PreciseTake Multimedia reserves a right to determine the process, procedures and applicable fees for the Service. The clients shall be charged for all expenses, including but not limited to transportation, food, accommodation, equipment hire, or other out-of-pocket expenses that PreciseTake Multimedia LLC may incur during the different stages of the project. However, such expenses shall be charged at the cost value.

Prohibited Use

​

The website and its resources, social media, or any other feature/aspect of the Service shall be used for lawful purposes only. All kinds of illegal or unauthorized activities shall be strictly prohibited. It shall be your responsibility to ensure that you can access this website or use the Service in your home country without violating any local, state, federal, or international laws or restrictions for being in the Governmental list of restricted persons/entities.

If we believe that your submitted/provided instructions, specifications, content, or materials are likely to be illegal, defamatory, obscene, morally unsuitable, infringing to third party rights, libelous, or otherwise objectionable, we may refuse to use such instructions, specifications, content, or materials in our sole discretion.

PreciseTake Multimedia LLC reserves a right to monitor and record your activities on this website but shall not be obligated to do so. If we believe that you have violated this agreement, we may prevent you from using the Service any further and disclose/share any content, records, or communications with the relevant authorities/third parties in our sole discretion.

PreciseTake Multimedia LLC will provide its services as an independent contractor. No party to this agreement shall assume/create any obligation or enter a binding agreement on behalf of the other party and nothing on this website shall create or deemed as any kind of franchise, partnership, joint venture, agent-principal, or employer-employee relationship between the contracting parties.

PreciseTake will store all files and data related to your project for up to 30 days after the delivery or date of the final invoice (whichever is later). After this period, PreciseTake Multimedia shall not be liable for making any file or content available to you.

Rights and obligations

​

When you place your order for any service being offered on this website, it shall be deemed that you retain all the copyrights or duly authorized to use any copyrighted material that you supply to PreciseTake Multimedia for performance of the Service, and have made all the arrangements or obtained the permission for featuring any performer, performances, trademarks, service marks, people, places, or locations that can be instrumental in or necessary for the performance of the Service.

All copyrightable works, including the ideas, discoveries, products, or other information (collectively Work Product) developed or consolidated, in whole or parts thereof, by PreciseTake Multimedia in relation to the Service being offered on this website shall be the exclusive property of PreciseTake, irrespective of the fact that the rendered services have already been invoiced. When required, we will produce all the necessary documents to confirm the exclusive ownership of such Work Product.

The agents, affiliates, employees, and service providers will be obligated to maintain the confidentiality of your submitted content, information, or knowledge base. We will ensure that your confidential information is never misused by the collaborating service providers or employees for their personal benefit. However, any use of third-party services shall be subject to their terms and conditions and we shall not be liable for any subsequent misuse of your confidential information or content.

Indemnity

You shall indemnify PreciseTake Multimedia LLC and hold its executives and employees harmless against all liabilities, damages, claims, or expenses, including the administrative or legal expenses in relation to:

• Your ability or inability to use the Service

• Your violation of this agreement or non-compliance with the applicable laws.

• Your infringement of third party rights, including their copyrights and intellectual property.

• Any wrongful or negligent conduct, whether by you or any other person accessing the Service under your credentials.

 

Warranty Disclaimer

Subject to your rights, we disclaim all warranties and representations to the maximum extent permissible under the laws.

You should acknowledge and consent that the Service is being offered as it is, and you shall bear all the risks that may be involved in using the Service over the Internet. We don't claim that the Service will be free from errors and omissions, harmful viruses, interruptions, or infringements and that such occurrences will be restored promptly.

PreciseTake Multimedia LLC shall not be liable for any loss or damages arising from suspension or non-performance of the Service due to technical limitations, maintenance requirements, unforeseen circumstances, or modifications in the Service.

PreciseTake Multimedia LLC shall not be liable for any claims, damages, liabilities, costs, expenses, or consequences that may result due to your instructions, specifications, content, or materials that are illegal, defamatory, obscene, inappropriate, infringing, libelous, objectionable, incorrect, inaccurate, incomplete, illegible, late/provided at the last moment, or any kinds of non-performance by you or any other person accessing the Service under your credentials.

Unless otherwise mentioned in this agreement, nothing on this website shall denote any express or implied guarantee regarding the accuracy, authenticity, reliability, availability, or suitability of the Service as per your preferences, requirements, or satisfaction.

Changes in this Agreement

PreciseTake Multimedia LLC shall be entitled to edit, modify or replace these terms and conditions at any time and at its sole discretion. Once notified, the revised terms and conditions shall replace and supersede all previous versions of this agreement. Continued Service use shall be deemed your consent to accept the modified agreement.
